Terms and conditions

1. Agreement and scope

These Terms govern the Software Tailor website, current-generation AI applications, AI Server, AI Admin Console, free and paid licences, related cloud and support services, and any update that refers to these Terms. They are an agreement between you and Software Tailor (HK) Limited. If a marketplace licence, order confirmation, enterprise agreement, data-processing agreement or product-specific notice conflicts with these Terms, the more specific document controls for that subject.

By installing, buying, accessing or using a product, you accept these Terms. If you act for an organisation, you confirm that you can bind it. You must be legally capable of entering this agreement.

2. Licence tiers and quantities

Software is licensed, not sold. We grant a limited, non-exclusive, non-transferable licence for the documented product and term, subject to the applicable tier:

  • Free: the free features and included model path, without a time limit unless stated for a particular preview;
  • Personal: private, household, hobby and educational use, but not paid work or use by or for an organisation;
  • Commercial: professional work and internal use by a business, government body or non-profit, in the purchased user, device, app or server-node quantity;
  • Enterprise: the identity, administration, deployment, support and usage rights in the signed order or agreement.

AI Server is licensed per active worker or server node as described at purchase. AI Gateway software is included with eligible AI Server deployments and is not a separate paid line. AI Admin Console is available through the managed organisation path. AI Suite and the Software Tailor Store-exclusive AI Apps Bundle include the same identified specialist applications at the same published plan price: AI Suite supplies the all-in-one application, while the Bundle entitles individually installable component apps for per-app deployment and assignment. They are alternatives and cannot be combined to duplicate rights.

3. Accounts, registration and entitlement

You must provide accurate registration and purchase information, protect account and licence credentials, and promptly report unauthorised use. We may verify entitlements, enforce seat or node limits, block compromised activations and cache signed offline entitlement evidence. You may not share keys outside the licensed organisation, falsify time or device information, or bypass activation, metering, tier or technical controls.

4. Subscriptions, billing and refunds

Paid plans are billed monthly or annually in advance and renew automatically until cancelled, unless the checkout says otherwise. Annual prices may reflect two months compared with monthly billing. Prices exclude taxes unless stated. Cancelling stops the next renewal and normally does not refund the current period. Refunds, chargebacks, cooling-off or withdrawal rights and marketplace purchases follow the selling channel's rules and any non-waivable consumer law. Microsoft Store, Microsoft Marketplace, AWS Marketplace, Apple, Google and the Software Tailor Store can provide different delivery, infrastructure billing, tax, cancellation and support mechanics; the order and marketplace listing control those channel-specific details. We may change a renewal price with advance notice required by the channel or applicable law.

5. Optional cloud storage

If AI Cloud Storage is offered and you enable it, the client encrypts content before upload. You are responsible for recovery material and authorised devices. Quotas, file limits and plan terms shown at purchase apply. After a storage plan ends, content is normally read-only for 90 days and then deleted; escrowed key material can remain for up to 12 months to support recovery. Do not use the service as the only copy of important data.

6. Acceptable use

You may not use a product to violate law or another person's rights; create or distribute unlawful abuse, malware or deceptive impersonation; gain unauthorised access; interfere with services; evade safety, entitlement or rate controls; scrape or overload an endpoint; or reverse engineer except to the limited extent applicable law expressly permits despite this restriction. You are responsible for inputs, tool calls, configured providers, generated output, recipients and any permission needed for another person's data, image, communications or voice.

You must comply with applicable export controls, sanctions and trade restrictions and may not make a product, model or controlled technical material available to a prohibited person, territory or end use. This clause does not require conduct prohibited by applicable anti-boycott or other mandatory law.

7. AI output and human responsibility

AI-generated output can be incomplete, biased, unsafe or confidently wrong. Models, hardware and settings change results. Review important output and use qualified human judgment for decisions affecting health, safety, legal rights, employment, credit, insurance, education, essential services or other high-impact matters. The products do not provide legal, medical, financial or other professional advice and are not emergency services.

When generating or modifying realistic media, impersonating a voice, grouping faces or using data about another person, obtain required rights and consent and apply legally required disclosure or machine-readable marking. Do not present synthetic content as authentic in a misleading way.

8. Data paths and third parties

The local path and each cloud, remote-server, web, MCP, sharing, mail, calendar or marketplace path are separate services. You authorise transmission of the content needed for a path when you select or configure it. Third-party models, model repositories, operating-system stores and connected providers have their own licences, acceptable-use rules, fees and privacy terms. We are not responsible for a third party's service, output, security or continued availability.

Our Privacy Policy describes Software Tailor's processing. An enterprise customer is responsible for notices, lawful basis, access controls, retention, backups and end-user instructions within infrastructure it operates.

9. AI Server and organisation administration

Customers operating AI Server or AI Gateway are responsible for capacity, network exposure, TLS, keys, model licences, provider credentials, patching, logging, backups, availability, monitoring and lawful use. Marketplace cloud templates and charts are deployment aids; the customer remains responsible for its Azure, AWS, Kubernetes or other cloud account, infrastructure charges and configuration. Reference hardware or cost estimates are planning aids, not performance guarantees. AI Admin Console records administrative actions and organisation usage but is not a substitute for the customer's governance, SIEM, incident response or regulatory assessment.

For personal data that Software Tailor processes on an organisation's documented instructions, the signed enterprise terms or data-processing agreement defines controller/processor roles, security commitments, subprocessors, transfers, assistance and deletion. These public Terms do not replace a required data-processing agreement.

10. Support and public contributions

Do not put secrets into support submissions. You grant us the limited right to store, reproduce and inspect submitted diagnostics, screenshots, attachments and call recordings to provide support. If you submit a wishlist idea or other public contribution, it is not confidential; you grant us a worldwide, perpetual, royalty-free right to use the suggestion without an obligation to build it or pay compensation. A requested public display name or certificate may be moderated, rejected or removed.

11. Updates, previews and availability

We may add, change or discontinue features, models, acquisition channels or free limits. Preview, beta, roadmap and unreleased features may be incomplete and are not a promise of delivery. Updates may be required for security, store compliance or compatibility. We do not guarantee uninterrupted availability, a particular model, output, response time or support time unless a signed agreement states a service level.

Labs builds are unfinished, time-limited test software and can fail, change or lose test data. A compiled expiry or trusted-time check may stop a build permanently. Do not use Labs for production work, sole-copy records or high-impact decisions. Labs participation and its content-free pseudonymous measurement require the in-app agreement and can be withdrawn as described there. If the learner cannot legally accept these Terms or the measurement choice, a parent or legal guardian must install, accept and supervise the product. Any tester recognition or subscription reward is discretionary unless confirmed in writing.

12. Intellectual property

Software Tailor and its licensors retain the software, site, documentation, designs, trademarks and other product materials. You retain rights in your inputs and, as between you and Software Tailor, any rights you may have in generated output. You grant the rights required to process inputs and deliver the feature you request. Output may not be unique and may not qualify for intellectual-property protection. Open-source components and third-party models remain subject to their own licences.

13. Warranty disclaimer

To the maximum extent permitted by law, products and the website are provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or uninterrupted operation. Nothing excludes an express warranty in an order or a statutory consumer guarantee that cannot be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable under these Terms for indirect, special, incidental, punitive or consequential loss, or for lost profits, revenue, goodwill, opportunity or data. Software Tailor's aggregate liability relating to a paid product is limited to the amount you paid for that product during the 12 months before the event giving rise to the claim; for a free product it is HKD 100. These limits do not apply where liability cannot legally be limited, including fraud, wilful misconduct, death or personal injury caused by negligence where applicable.

15. Indemnity for organisational use

If you use a product for an organisation, you will defend and indemnify Software Tailor against a third-party claim caused by your unlawful inputs, configured tools or providers, infringement of another person's rights, breach of these Terms, or operation of customer-controlled infrastructure. This does not apply to the extent the claim was caused by Software Tailor's breach, negligence or wilful misconduct. Consumer users have no indemnity obligation beyond what applicable law permits.

16. Suspension and termination

You may stop using the products and cancel a subscription through its selling channel. We may suspend or terminate access for material breach, fraud, security risk, non-payment, unlawful use or a legal requirement, using reasonable notice where practicable. On termination, licensed rights end; local data and exports remain your responsibility, and provisions intended to survive—including payment, intellectual property, disclaimers, liability and dispute terms—continue.

17. Governing law and disputes

These Terms are governed by Hong Kong law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Before filing a claim, contact us and allow 30 days for an informal resolution. Subject to non-waivable consumer rights, Hong Kong courts have exclusive jurisdiction. Either party may seek urgent injunctive relief in a competent court.

18. Changes and general terms

We may update these Terms for new features, legal requirements or operational changes. Material changes apply prospectively after reasonable notice; continued use after the effective date accepts them. If a provision is unenforceable, the remainder continues. Delay in enforcement is not a waiver. You may not assign this agreement without consent; we may assign it with the business or product. Neither party is responsible for delay caused by events beyond its reasonable control, except payment obligations and responsibilities that could reasonably have been mitigated. Electronic notices may be sent to the registered address, displayed in the product or posted on the contractual website page. These Terms and any controlling order are the entire agreement for their subject.
